Les conditions dans lesquelles nous travaillons.
Last updated: 24 June 2026
Governed by the laws of Mauritius.
Parties
These terms govern the relationship between Synalytics ("we", "us", "the studio") and any individual or company ("you", "the client") that engages us for software development, analytics, automation, or related services.
By signing a proposal or scope document, or by making any payment toward a project, you agree to these terms.
Scope and delivery
Every engagement begins with a written scope document. This document defines the deliverables, delivery date, and fixed price. Work begins only after the scope is approved in writing by both parties.
We commit to a delivery date in the first week of every project. Any changes to scope that affect the delivery date or price will be agreed in writing before work on the change begins. We do not absorb scope changes without a written amendment.
Fixed pricing
The price stated in the scope document is the price you pay. We do not bill by the hour. We do not add costs after the fact.
If a project requires materially more work than scoped due to circumstances outside your control, we will notify you in writing and agree a revised price before proceeding. We will never invoice an amount that has not been agreed in advance.
Payment
We typically structure payments as follows, though terms may vary per engagement:
- →50% deposit due before work begins
- →50% balance due on delivery or go-live, whichever comes first
- →Retainer fees billed monthly in advance
Invoices are due within 14 days of issue unless otherwise agreed. Late payments accrue interest at 2% per month. We reserve the right to pause delivery if payment is overdue by more than 14 days.
Client responsibilities
Timely delivery depends on you. You agree to provide feedback, approvals, content, and access to systems within the timeframes agreed in the scope. Delays caused by late client input may extend the delivery date accordingly. We will notify you in writing when this occurs.
Intellectual property
Upon receipt of final payment, all custom code, designs, and deliverables produced specifically for your project become your property.
We retain ownership of any pre-existing tools, libraries, frameworks, and methodologies we bring to the engagement. These may be licensed to you as part of the deliverable but remain our intellectual property.
We may reference your project in our portfolio unless you request otherwise in writing before the project begins.
Confidentiality
We treat all client data, business information, and project details as confidential. We do not share this information with third parties except where required for delivery (e.g., cloud infrastructure providers) or by law.
If a formal NDA is required, we are happy to sign one before any sensitive information is shared.
Warranties and liability
We warrant that all deliverables will function as described in the scope document at the point of delivery. We provide a 30-day warranty period after go-live during which we will fix defects at no additional charge.
We are not liable for indirect, consequential, or incidental losses arising from the use of our deliverables. Our total liability in any engagement is capped at the total fees paid by you for that engagement.
Termination
Either party may terminate an engagement with 14 days written notice. In the event of termination, you will be invoiced for all work completed up to the termination date at a pro-rata rate based on the agreed project price.
If you terminate after the deposit has been paid, the deposit is non-refundable but will be credited against any outstanding invoice for work completed.
Governing law
These terms are governed by the laws of the Republic of Mauritius. Any dispute arising from these terms or a project engagement will be subject to the exclusive jurisdiction of the courts of Mauritius.
